03 — Private Placement Memorandum

The PPM is a private document.

Units of Lakshya Capital Investment Trust – Scheme 1 are offered solely by way of private placement to eligible investors. Nothing on this website constitutes an offer, invitation or solicitation to the public to subscribe to units of the scheme.

The Private Placement Memorandum sets out the complete terms of the scheme — investment strategy, fees and expenses, risk factors, conflicts of interest, distribution waterfall, tenure and exit provisions. It is made available to eligible investors on request, and must be read in full before any commitment is made.

04 — Investor grievance redressal

How to raise a complaint, and how it is escalated.

Every complaint is logged, acknowledged and tracked to closure. We aim to resolve each complaint within 21 calendar days of receipt.

  1. Step 01

    Write to the Investment Manager

    Email your complaint, along with your name, contact details and folio or commitment reference, to our investor query address. You will receive an acknowledgement with a reference number.

  2. Step 02

    Escalate to the Grievance Officer

    If the response is unsatisfactory, or if you have not heard from us within 21 calendar days, escalate to the Investor Grievance Officer named below.

  3. Step 03

    Approach SEBI or SMART ODR

    If the complaint remains unresolved, you may lodge it on the SEBI SCORES portal, or initiate conciliation and arbitration through the SMART ODR portal.

Registration, conflicts of interest and the Investor Charter.

Disclosures required by SEBI

  • Lakshya Capital Investment Trust is registered with SEBI as a Category III Alternative Investment Fund under Registration No. IN/AIF3/25-26/2084.
  • The scheme does not offer, guarantee or indicate any assured or minimum return. Investments in Alternative Investment Funds are subject to market and other risks described in the PPM.
  • Units are offered only by private placement to eligible investors. This website is for information purposes and does not constitute an offer or solicitation to the public.
  • Regulatory actions, penalties or material litigation involving the AIF, the Sponsor, the Trustee or the Investment Manager: [[Nil as on DD Month YYYY / details to be inserted by the compliance team]].
  • Any material change to the terms of the scheme is communicated to investors in the manner prescribed under the SEBI (Alternative Investment Funds) Regulations, 2012.

Conflict of interest disclosures

The Investment Manager, its partners and employees may have interests that conflict with those of the scheme. These are identified, mitigated and disclosed under the Conflict of Interest Policy. Principal areas of potential conflict are:

  • Allocation of investment opportunities — where more than one scheme or account managed by the Investment Manager is eligible for the same opportunity, allocations are made on a fair and documented basis.
  • Personal trading — partners and employees are subject to an employee dealing policy requiring pre-clearance, holding periods and periodic reporting of personal securities transactions.
  • Related-party transactions — dealings with associates of the Sponsor, Manager or Trustee are disclosed and, where required, carried out only with the approval prescribed under the AIF Regulations.
  • Distribution arrangements — fees or commissions payable to distributors of the scheme are disclosed to investors as required.

Investor Charter

The Investor Charter sets out the services an investor in an Alternative Investment Fund is entitled to, the timelines within which those services are delivered, and the rights and responsibilities of investors. In summary, an investor in the scheme is entitled to:

  • Receive the Private Placement Memorandum and the contribution agreement before committing capital.
  • Receive periodic reports on the scheme's portfolio, valuation and performance as prescribed.
  • Be informed of any material change to the terms of the scheme.
  • Have complaints acknowledged, tracked and resolved, with escalation to SEBI SCORES and SMART ODR.
  • Have personal and financial information kept confidential, save where disclosure is required by law.
